By accessing and using NeuralAgent software and related services (collectively, the "Service") provided by Neural Intelligence, Inc. ("Company," "we," "our," or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Service.
2. Description of Service
NeuralAgent is an AI-powered desktop application that operates on your device to execute tasks by interacting with your operating system. The Service includes:
- AI processing and task execution
- Desktop automation and workflow optimization
- Natural language command interpretation
- Operating system integration capabilities
- Software updates and maintenance
- Technical support and documentation
3. User Accounts and Registration
To access certain features of our Service, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Acceptable Use Policy

6. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to such collection and use.
7. Payment Terms and Subscription
7.1 Subscription Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually), as selected at the time of purchase or upgrade. By subscribing or upgrading, you authorize us to charge your selected payment method for the applicable subscription fee.
Annual plans are billed upfront for the full annual term.
7.2 Upgrades and Plan Changes
If you upgrade from one plan to another, including from a monthly plan to an annual plan, you authorize immediate billing for the new plan at the time of upgrade. The applicable billing frequency (monthly or annually) and pricing are displayed prior to confirmation of the upgrade.
7.3 Refund Policy
Due to the immediate access to digital services and premium features upon activation, all subscription payments are final and non-refundable, except where required by applicable law.
This includes, without limitation:
- Annual subscription purchases
- Monthly subscription purchases
- Plan upgrades (including upgrades from monthly to annual billing)
- Partial billing periods
- Unused time within an active subscription period
By completing a purchase, you acknowledge and agree that access to the Service is provided immediately upon activation. Any level of usage, including login activity or feature interaction, constitutes full delivery of the Service. Failure to use the Service does not entitle you to a refund.
Cancellation of a subscription will prevent future renewals but does not entitle the user to a refund of any fees already paid.
We reserve the right to grant refunds solely at our discretion in exceptional circumstances.
7.4 Active Usage
If a subscription has been accessed or used after activation, including but not limited to login activity, feature usage, or any interaction with the Service, the subscription is considered fully delivered and is not eligible for a refund.
7.5 Exceptional Circumstances
We may, at our sole discretion, provide partial or full refunds in exceptional cases, including verified technical issues that prevent access to the Service. Any such refund is granted as a goodwill gesture and does not create an obligation for future refunds.
7.6 Chargebacks
By agreeing to these Terms, you agree to contact us first to resolve any billing issues before initiating a chargeback or payment dispute.
We reserve the right to dispute any chargeback with evidence of account activity, usage logs, and acceptance of these Terms. Initiating a chargeback in violation of this policy may result in immediate suspension or permanent termination of your account.
8. Software License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the NeuralAgent software for your personal or business use. This license:
- Is valid only for the duration of your subscription or license
- Does not include the right to sublicense or distribute
- May be terminated for violation of these Terms
- Is subject to any additional license agreements
9. Disclaimers and Limitations
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability and fitness for a particular purpose
- Warranties that the Service will be uninterrupted or error-free
- Warranties regarding accuracy, reliability, or completeness
- Warranties that defects will be corrected
IN NO EVENT SHALL NEURAL INTELLIGENCE, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY.
10. Indemnification
You agree to defend, indemnify, and hold harmless Neural Intelligence, Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:
- Breach of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Violation of applicable laws
Upon termination, your right to use the Service will cease immediately, and you must destroy all copies of the software in your possession.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Neural Intelligence, Inc. regarding the Service and supersede all prior agreements and understandings.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

17. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, fire, natural disasters, government actions, or other similar events.
18. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any party at any time without notice to you.
